Terms of Service

DoAd is a marketplace operated by TODO — <Name> Private Limited, registered at TODO — Address line 1, TODO — Address line 2, TODO — City, TODO — State, TODO — PIN, India. We connect advertisers with owners of digital screens (“Associates”).

We do not own the screens on the platform. Every screen is owned and controlled by an independent Associate. We provide the software, the marketplace, payment handling and verification.

You must be at least 18 and able to enter a contract under the Indian Contract Act, 1872. You are responsible for what happens under your account and for keeping your credentials secure.

One person may hold both an advertiser and an Associate role. Certain actions require verification of identity before they unlock — see clause 4.

Advertisers create campaigns and either select screens directly or set a budget and let the platform place ads. Associates add their own screens, run their own content for free, and may opt in to carrying ads for a share of revenue.

An ad plays only when all of the following hold: the creative has been approved, the campaign and ad set are active and in schedule, the advertiser’s wallet covers the price of the play, the screen is verified, and the ad’s category is not blocked by that screen. These conditions are enforced by the platform, not merely promised here.

Before an advertiser can add money to a wallet, we require verification of a PAN. Certain regulated advertising categories require additional verification or documentation before creatives in those categories will be approved.

Associates must complete screen verification before their screens can carry paid ads. Verification includes venue details and photographs of the installed screen.

Advertising is prepaid. You add funds to a wallet held against your ad account, and the wallet is debited per verified play at the price set for that screen’s venue tier. Prices are shown in Indian Rupees and are inclusive of nothing unless expressly stated.

No play, no charge. We charge only for plays recorded by proof-of-play from the screen. We do not charge for estimated, projected or modelled impressions.

Associates earn a share of the price of each verified play carried on their screen; the current share is shown in the Associate Terms. Earnings accrue to a ledger and are paid out on request, subject to verification and any tax withholding we are required to apply.

All amounts are recorded in integer paise on an append-only ledger. Where a displayed balance and the ledger disagree, the ledger governs.

You retain ownership of the content you upload. You grant us a licence to store, process, transmit and display it for the purpose of operating the service — including displaying it on Associate screens.

You are responsible for holding the rights necessary for that display. All advertising creatives are reviewed before they can play. We may reject or remove content that breaches the Content & Advertising Policy, and Associates may block categories of ads on their own screens.

We do not guarantee uninterrupted service. Screens are owned by independent Associates and may go offline for reasons outside our control — power, connectivity, or the venue simply closing. Because billing is per verified play, an offline screen costs an advertiser nothing.

We may suspend or terminate an account for breach of these terms, fraudulent or unlawful activity, or where required by law. You may close your account at any time.

On termination, any unspent wallet balance is handled under the Refund & Cancellation Policy, and any accrued Associate earnings remain payable subject to verification.

Nothing in these terms excludes liability that cannot be excluded under Indian law, including for fraud or for death or personal injury caused by negligence.

Subject to that, our aggregate liability to you in connection with the service is limited to the amounts you paid to us in the three months preceding the event giving rise to the claim. We are not liable for indirect or consequential loss, or for loss of profits, revenue or anticipated savings.

We may update these terms. Where a change materially affects your rights we will give notice through the platform or by email before it takes effect. Continuing to use the service after that constitutes acceptance.

These terms are governed by the laws of India. The courts at Palakkad, Kerala, India have exclusive jurisdiction, subject to any non-waivable right you have to bring proceedings elsewhere as a consumer.
